PLEASE READ THESE TERMS OF SERVICE CAREFULLY BEFORE USING NAVIGATIONONDEMAND.COM. BY CLICKING “I AGREE,” CREATING AN ACCOUNT, OR OTHERWISE ACCESSING OR USING THE SERVICES, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS OF SERVICE. IF YOU DO NOT AGREE TO THESE TERMS, DO NOT ACCESS OR USE THE SERVICES.

1. Introduction and Acceptance. These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User,” “you,” or “your”) and NavPoint Health, Inc. (“NavPoint,” “we,” “us,” or “our”), governing your access to and use of our patient navigation services, our website located at navigationondemand.com and all related services, features, content, and applications (collectively, the “Services” or “NavigationOnDemand”). By accessing or using the Services, submitting the intake form, or clicking “I Agree” or any similar button, you represent and warrant that you are at least eighteen (18) years of age, that you have the legal capacity to enter into a binding agreement, and that you accept and agree to be bound by these Terms. If you are accessing or using the Services on behalf of another individual (such as a family member or patient), you represent and warrant that you have the authority to bind such individual to these Terms. 

2. Description of Services. NavigationOnDemand is a personalized, non-clinical healthcare navigation support service that connects patients and caregivers with experienced, certified navigators who provide guidance, organization, education, and emotional support throughout the cancer journey. NAVIGATIONONDEMAND IS NOT A CLINICAL OR MEDICAL SERVICE. Our navigators help you stay informed, prepare for medical appointments, organize health information, identify helpful questions to ask your care team, coordinate logistics across multiple providers, and access supportive resources. Navigation sessions are conducted virtually via videoconferencing and are scheduled for approximately forty-five (45) minutes each. Patients may include family members, loved ones, or caregivers in navigation sessions. 

3. Eligibility. The Services are available to individuals who meet all of the following criteria: (a) you are at least eighteen (18) years of age; (b) you have been affected by a chronic healthcare diagnosis such as cancer, whether as a patient, caregiver, family member, or loved one; and (c) you reside in United States and are receiving treatment for your condition in the United States. NavPoint reserves the right to modify geographic availability at any time.

4. Account Registration and Intake. To access and use the Services, you must complete the NavigationOnDemand intake form and provide accurate and complete information, including your name, email address, phone number, age, zip code of residence, and your relationship to the cancer diagnosis (patient, caregiver, or loved one). You agree to provide truthful, accurate, current, and complete information and to update such information as necessary to maintain its accuracy. NavPoint reserves the right to refuse service or terminate access if any information provided is found to be inaccurate, incomplete, or misleading.

5. Fees and Payment. For current fees and payment instructions please visit https://navigationondemand.com/how-it-works-1. Financial assistance may be available for qualifying individuals. All fees are non-refundable unless otherwise stated. NavPoint reserves the right to modify its pricing structure at any time upon reasonable notice to you. Payment obligations are non-cancelable and fees paid are non-refundable. You are responsible for all taxes, levies, duties, or similar governmental assessments associated with your purchase of the Services. If your payment method is a credit card, by enrolling in the Services and providing such payment method and if applicable, you authorize NavPoint to charge your credit card on a recurring basis for applicable fees and any other charges you may incur in connection with your use of the Services.

6. Recording of Sessions. All navigation sessions conducted via a teleconferencing platform and will be recorded for recordkeeping, quality assurance, and continuity-of-care purposes. By using the Services, you expressly consent to the audio and video recording of all navigation sessions. If you do not consent to being recorded, you may not use the Services. Recordings will be stored securely and handled in accordance with our Privacy Policy and applicable law.

7. IMPORTANT DISCLAIMERS — NOT A MEDICAL SERVICE. NAVIGATIONONDEMAND IS NOT A MEDICAL SERVICE. THE SERVICES DO NOT CONSTITUTE MEDICAL ADVICE, DIAGNOSIS, TREATMENT, OR CLINICAL CONSULTATION OF ANY KIND. You expressly acknowledge and agree to the following: 

(a) No Medical Advice. NavigationOnDemand navigators do not provide medical advice or clinical recommendations. Nothing communicated during a navigation session shall be construed as medical advice, and no navigator-patient or physician-patient relationship is created through the use of the Services. 

(b) No Diagnosis or Treatment. Navigators do not diagnose conditions, recommend or suggest specific treatments, prescribe medications, or provide any form of clinical consultation. 

(c) No Financial or Insurance Services. The Services do not provide financial counseling, insurance advice, or insurance enrollment services. 

(d) No Emergency Services. The Services are not intended for medical emergencies. If you are experiencing a medical emergency, call 911 or go to your nearest emergency room immediately. 

(e) No Third-Party Communications on Your Behalf. Navigators do not make phone calls to providers, insurers, or other third parties on your behalf. 

(f) Complementary Service Only. NavigationOnDemand is designed to complement, not replace, your clinical care team. Any and all medical decisions should be made with your licensed healthcare providers. 

(g) No Guaranteed Outcomes. NavPoint does not and cannot guarantee any specific health outcome, treatment result, or other result from your use of the Services.

(h) Reliance at Your Own Risk. Any information, guidance, or support provided through the Services is for general educational and organizational purposes only. You acknowledge that reliance on any information provided through the Services is solely at your own risk.

8. User Responsibilities. By using the Services, you agree to: (a) use the Services only for lawful purposes and in accordance with these Terms; (b) provide accurate, current, and complete information during the intake process and throughout your use of the Services; (c) not use the Services to transmit any content that is unlawful, harmful, threatening, abusive, harassing, defamatory, obscene, or otherwise objectionable; (d) not attempt to gain unauthorized access to any portion of the Services, systems, or networks; (e) not interfere with or disrupt the integrity or performance of the Services; (f) not impersonate any person or entity; and (g) comply with all applicable local, state, and federal laws and regulations. 

9. Intellectual Property. All content, materials, software, technology, data, trademarks, trade names, logos, and other intellectual property comprising or associated with the Services, including but not limited to the NACI Care™ platform, are and shall remain the sole and exclusive property of NavPoint Health, Inc. You are granted no right, title, or interest in any NavPoint intellectual property except the limited right to access and use the Services as expressly set forth in these Terms. You shall not, directly or indirectly: (a) modify, copy, or create derivative works of the Services; (b) reverse engineer, decompile, or disassemble any software associated with the Services; (c) use the Services for purposes of benchmarking or developing a competitive product; or (d) remove any proprietary notices from the Services. 

10. Privacy and Data Protection. Your use of the Services is also governed by our Privacy Policy, which is incorporated herein by reference. Please review our Privacy Policy for information regarding how we collect, use, store, and protect your personal information. NavPoint uses the NACI Care™ platform, which is SOC 2 compliant, to securely track and document navigation services provided to you. All personal data transmitted through or stored within the Services is encrypted both in transit and at rest. 

11. Confidentiality. NavPoint will treat all personal and health-related information you share during navigation sessions as confidential. We will not disclose your information to third parties except as described in our Privacy Policy, as required by law, or as necessary to provide the Services. 

12. Disclaimer of Warranties. THE SERVICES ARE PROVIDED ON AN “AS-IS” AND “AS-AVAILABLE” BASIS. NAVPOINT AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, AND SERVICE PROVIDERS MAKE NO WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO ANY IMPLIED WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT. NAVPOINT DOES NOT WARRANT THAT: (A) THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (B) THE RESULTS OBTAINED FROM THE USE OF THE SERVICES WILL BE ACCURATE OR RELIABLE; (C) THE QUALITY OF ANY INFORMATION OR OTHER MATERIAL OBTAINED THROUGH THE SERVICES WILL MEET YOUR EXPECTATIONS; OR (D) ANY ERRORS IN THE SERVICES WILL BE CORRECTED. NAVPOINT DOES NOT AND CANNOT GUARANTEE ANY SPECIFIC OUTCOME OR RESULT FROM YOUR USE OF THE SERVICES. THE SERVICES RELY UPON INFORMATION YOU PROVIDE, AND NAVPOINT IS NOT RESPONSIBLE FOR AND DOES NOT VALIDATE, REVIEW, OR ANALYZE SUCH INFORMATION FOR ACCURACY OR COMPLETENESS. 

13. Limitation of Liability. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NAVPOINT HEALTH, INC. AND ITS SUBSIDIARIES, AFFILIATES, SHAREHOLDERS, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, AND LICENSORS (COLLECTIVELY, THE “RELEASED PARTIES”) SHALL NOT BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, WHETHER BASED IN CONTRACT, TORT, STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF NAVPOINT HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL NAVPOINT’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICES EXCEED THE TOTAL AMOUNT OF FEES ACTUALLY PAID BY YOU TO NAVPOINT IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO SUCH LIABILITY, OR FIVE HUNDRED DOLLARS ($500.00), WHICHEVER IS GREATER. THE LIMITATIONS SET FORTH IN THIS SECTION SHALL APPLY REGARDLESS OF WHETHER THE DAMAGES ARE BASED ON WARRANTY, CONTRACT, TORT, STATUTE, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT NAVPOINT HAS BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGES.

14. Indemnification. You agree to indemnify, defend, and hold harmless NavPoint Health, Inc., its affiliates, and their respective officers, directors, employees, agents, successors, and assigns from and against any and all claims, demands, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to: (a) your use of the Services in violation of these Terms or applicable law; (b) any information or content you provide through the Services that infringes or misappropriates the rights of any third party; (c) your violation of any applicable law or regulation; or (d) your gross negligence or willful misconduct. 

15. Termination. NavPoint may suspend or terminate your access to the Services at any time, with or without cause, and with or without notice, including but not limited to situations where: (a) you breach any provision of these Terms; (b) you engage in fraudulent or illegal activities; (c) your use of the Services poses a security risk or threat; or (d) continued provision of the Services to you is prohibited by applicable law. Upon termination, your right to access and use the Services will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive, including without limitation disclaimers, limitations of liability, indemnification obligations, and intellectual property provisions. 

16. Modifications to Terms. NavPoint reserves the right to modify, amend, or update these Terms at any time in its sole discretion. Any changes will be effective upon posting of the revised Terms on the Services or upon notice to you via email or other communication. Your continued use of the Services after such modifications constitutes your acceptance of the updated Terms. 

17. Third-Party Services and Links. The Services may contain links to third-party websites, applications, or services, including Zoom videoconferencing and the private Facebook support group. NavPoint does not control, endorse, or assume responsibility for any third-party content, products, or services. Your use of any third-party services is governed by such third party’s own terms of service and privacy policies. NavPoint specifically disclaims any liability relating to your use of third-party services. 

18. Force Majeure. NavPoint shall not be liable for any failure or delay in performing its obligations under these Terms to the extent that such failure or delay is caused by a Force Majeure Event, which includes but is not limited to acts of God, natural disasters, epidemics or pandemics, labor disputes, utility failures, power outages, internet service disruptions, civil disturbances, acts of war or terrorism, government restrictions or actions, or other similar events outside NavPoint’s reasonable control. 

19. Governing Law and Dispute Resolution. These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of laws principles. You agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Services shall be resolved exclusively in the state or federal courts located in California, and you consent to the personal jurisdiction of such courts. The prevailing party in any action or proceeding arising out of or related to these Terms shall be entitled to recover its reasonable attorneys’ fees and costs.

20. Severability. If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable, and the remaining provisions shall continue in full force and effect. 

21. Entire Agreement. These Terms, together with the Privacy Policy and any other documents incorporated by reference, constitute the entire agreement between you and NavPoint with respect to the Services and supersede all prior or contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Services.
